These Terms and Conditions (“Terms”) govern your access to and use of the AeoIX platform and related services (the “Service”).
The Service is owned and operated by WEBBYWOLF INNOVATIONS (“Company”, “we”, “us”, or “our”). AeoIX is our product and brand name.
By accessing or using the Service, you agree to be bound by these Terms.
1. Scope and Eligibility
1.1 These Terms apply to all users of the Service, including businesses, organizations, professionals, and individual users.
1.2 By using the Service, you represent that you are legally capable of entering into a binding agreement under applicable law.
1.3 If you use the Service on behalf of a business, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
2. About the Service
2.1 AeoIX is a software-as-a-service platform designed to help users monitor and analyze visibility in AI-generated search results and large language model responses.
2.2 Depending on the features included in your plan, the Service may allow you to:
- track keywords, prompts, names, brands, or topics in AI-generated responses;
- monitor positive and negative brand indicators;
- analyze how often specific content or sources appear in AI-generated outputs; and
- receive prompt or keyword suggestions to support monitoring and analysis.
2.3 The exact features, limitations, and plan details of the Service are described on our website, pricing page, checkout, order form, or product interface, and may be updated from time to time.
2.4 We may improve, modify, or update the Service from time to time, provided that such changes do not materially remove the core functionality of the Service you have purchased.
2.5 We do not guarantee any specific business result, ranking, visibility increase, sentiment improvement, or commercial outcome from use of the Service.
3. Accounts and Access
3.1 You may need to create an account to access the Service. You agree to provide accurate, current, and complete information and to keep it updated.
3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3.3 You must notify us immediately at [email protected] if you become aware of any unauthorized access to your account or any security breach related to the Service.
4. Acceptable Use
4.1 You agree to use the Service only in compliance with applicable laws and these Terms.
4.2 You must not:
- use the Service for unlawful, fraudulent, deceptive, or harmful purposes;
- copy, reverse engineer, decompile, or attempt to extract source code from the Service, except where permitted by law;
- interfere with or disrupt the operation, security, or integrity of the Service;
- upload, submit, or use content that infringes third-party rights or violates applicable law;
- use the Service to transmit malware, harmful code, or malicious content; or
- allow unauthorized third parties to access or use the Service through your account.
4.3 We may suspend or restrict access to the Service if we reasonably believe that you have violated these Terms, applicable law, or are using the Service in a way that may harm us, the Service, or others.
5. Customer Responsibilities
5.1 You are responsible for all data, prompts, inputs, URLs, content, and materials that you submit to or use with the Service (“Customer Content”).
5.2 You represent and warrant that:
- you have all necessary rights, permissions, and authority to use Customer Content with the Service; and
- your use of the Service and Customer Content does not infringe any third-party rights or violate any applicable law.
5.3 You are responsible for reviewing and evaluating any outputs, analytics, suggestions, or reports generated by the Service before relying on them for business, legal, operational, personal, or commercial decisions.
6. Intellectual Property
6.1 We and our licensors own all rights, title, and interest in and to the Service, including the software, technology, branding, design, documentation, and all related intellectual property rights.
6.2 Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription term for your personal or internal business use, as applicable.
6.3 You retain ownership of your Customer Content. You grant us a limited right to host, store, process, transmit, and use Customer Content only as necessary to provide, maintain, support, secure, and improve the Service and to comply with applicable law.
7. Fees, Billing, and Subscription
7.1 Paid access to the Service is provided on the pricing and billing terms presented to you at checkout, in an order form, or on our pricing page.
7.2 Subscription fees are billed in advance on a recurring basis unless stated otherwise.
7.3 Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle until cancelled.
7.4 Payments may be processed by Paddle or another authorized payment provider shown at checkout. Where Paddle is used, Paddle may act as merchant of record or authorized reseller for your purchase.
7.5 You authorize us and our payment providers to charge the applicable subscription fees, taxes, and any other disclosed charges using your selected payment method.
7.6 If payment fails, is overdue, or cannot be processed, we may suspend or restrict access to the Service until payment is successfully received.
7.7 Unless otherwise required by law or expressly stated in our Refund Policy, all fees are non-refundable.
8. Free Trial
8.1 We may offer a 7-day free trial for eligible subscription plans.
8.2 Unless otherwise stated at signup or checkout, the free trial begins on the date you start the subscription and continues for 7 calendar days.
8.3 If you do not cancel before the end of the trial period, your subscription will automatically convert to a paid subscription, and the applicable subscription fee will be charged using your selected payment method.
8.4 The recurring price, billing interval, and renewal terms that apply after the free trial will be shown to you at checkout or on the pricing page.
8.5 We may limit eligibility for the free trial, including by restricting repeat trials for the same customer, account, organization, email address, payment method, device, or domain.
8.6 We may modify, withdraw, or end the free trial offer at any time, to the extent permitted by law.
9. Availability and Third-Party Services
9.1 We use commercially reasonable efforts to keep the Service available and functioning properly.
9.2 The Service may be temporarily unavailable due to maintenance, updates, internet outages, force majeure events, failures of third-party services, or events beyond our reasonable control.
9.3 The Service may rely on third-party providers, including hosting providers, analytics providers, payment providers, and AI model providers. We are not responsible for outages, delays, inaccuracies, or interruptions caused by such third-party services.
10. Privacy and Data Protection
10.1 Our handling of personal data is described in our Privacy Policy.
10.2 You are responsible for ensuring that any personal data or other regulated data you submit through the Service is collected, shared, and used lawfully.
10.3 We may process data as necessary to provide the Service, support your account, secure the platform, improve our services, and comply with legal obligations.
11. Disclaimer of Warranties
11.1 The Service is provided on an “as is” and “as available” basis unless otherwise expressly stated in writing.
11.2 To the maximum extent permitted by law, we do not warrant that:
- the Service will be uninterrupted, error-free, or completely secure;
- the Service will always be available;
- any output, analytics, or insights will be accurate, complete, or fit for a particular purpose; or
- the Service will achieve any specific result or outcome.
12. Limitation of Liability
12.1 To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, or business interruption.
12.2 Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount paid by you for the Service during the 12 months immediately preceding the event giving rise to the claim.
12.3 Nothing in these Terms limits or excludes liability where such limitation or exclusion is not permitted by applicable law.
13. Term, Cancellation, and Termination
13.1 These Terms apply from the date you first access or use the Service and continue for as long as you use the Service.
13.2 You may cancel your subscription at any time. If you cancel during the free trial period, you will not be charged for the upcoming paid subscription term. If you cancel after the trial has ended, cancellation will take effect at the end of the current billing period.
13.3 We may suspend or terminate your access immediately if:
- you materially breach these Terms;
- payment is overdue;
- your use of the Service creates legal, operational, or security risk; or
- we are required to do so by law.
13.4 Upon termination, your right to access and use the Service ends immediately or at the end of the applicable paid period, depending on the reason for termination.
13.5 We may delete or anonymize Customer Content after termination, subject to any legal retention obligations.
14. Refunds
14.1 Refunds, if any, are governed by our Refund Policy and applicable law.
14.2 Cancelling a subscription prevents future renewals but does not automatically entitle you to a refund for the current billing period.
15. Changes to These Terms
15.1 We may update these Terms from time to time.
15.2 If we make material changes, we will post the updated version on our website and update the “Last updated” date. Where appropriate, we may also notify you by email or through the Service.
15.3 Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.
16. Governing Law and Jurisdiction
16.1 These Terms are governed by the laws of India, without regard to conflict of law principles.
16.2 The courts located in Palghar, Maharashtra, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, subject to applicable law.
17. General
17.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
17.2 Our failure to enforce any provision of these Terms will not constitute a waiver of that provision.
17.3 These Terms, together with our Privacy Policy, Refund Policy, pricing terms, and any order form or checkout terms presented at purchase, form the entire agreement between you and us regarding the Service.
